If a separate written agreement with Jurisio applies to your account, organization, workspace, subscription, or use of the Service, that agreement controls to the extent it conflicts with these Terms.

Product-Specific Terms

These Terms apply generally to the Service. Additional terms may apply to particular products, plans, workspaces, or features.

The applicable product addendum is incorporated into these Terms for that product. If a product-specific addendum conflicts with these Terms, the product-specific addendum controls for that product only.

Product-specific permissions, restrictions, data terms, security terms, and compliance commitments are stated in the applicable addendum or separate written agreement.

1. Acceptance of Terms

By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and references to "you" include that organization.

If you do not agree to these Terms, you may not access or use the Service.

2. The Service

Jurisio provides software tools and related online services. Features may vary by product, account, plan, workspace, and agreement. Jurisio may modify, suspend, or discontinue features from time to time.

Jurisio is not a law firm, does not provide legal advice, and does not represent users in any legal matter.

3. Accounts and Responsibilities

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You must provide accurate account information and promptly update it as needed.

You may not share credentials, access another person's account without authorization, or attempt to bypass access controls.

4. User Content

You retain ownership of documents, prompts, questions, notes, communications, and other materials you submit to the Service ("User Content"). You grant Jurisio the rights necessary to host, process, transmit, display, and use User Content to provide, maintain, secure, and improve the Service, subject to applicable agreements and law.

You represent that you have the rights and permissions necessary to submit User Content to the Service.

6. Acceptable Use

You may not use the Service to violate law, infringe rights, compromise security, submit malicious code, overload infrastructure, scrape or extract data without permission, reverse engineer the Service, bypass usage limits, or interfere with another user's access.

You may not use the Service to generate or facilitate unlawful, deceptive, harmful, or abusive activity.

7. Payment and Subscriptions

Some features may require payment or a subscription. Fees, billing periods, renewal terms, and cancellation terms will be provided at purchase or in a separate agreement.

Unless otherwise stated in writing, fees are non-refundable except where required by law.

8. Privacy

Jurisio's collection and use of information is described in the Privacy Policy. By using the Service, you acknowledge the Privacy Policy.

9. Intellectual Property

Jurisio and its licensors retain all rights, title, and interest in the Service, including software, interfaces, designs, workflows, models, documentation, and other technology. Except for rights expressly granted in these Terms, no rights are transferred to you.

You may provide feedback or suggestions. Jurisio may use feedback without restriction or obligation to you.

10. Suspension and Termination

Jurisio may suspend, restrict, or terminate access to all or part of the Service immediately and without prior notice if:

  • You violate these Terms;
  • Payment obligations are not satisfied;
  • Jurisio reasonably believes suspension is necessary to prevent fraud, abuse, security risks, legal liability, or harm to the Service, users, or third parties;
  • Required by law, regulation, court order, or governmental authority.

Termination does not relieve you of obligations accrued before termination.

Sections relating to ownership, intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and any provisions that by their nature should survive shall remain in effect following termination.

11. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Jurisio disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

Jurisio does not warrant that the Service will be uninterrupted, error-free, secure, or that outputs will be accurate or suitable for any particular use.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JURISIO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JURISIO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

(A) THE AMOUNTS PAID BY YOU TO JURISIO DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS (US $100).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

13. Indemnification

You agree to defend, indemnify, and hold harmless Jurisio, its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your use of the Service;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your infringement or misappropriation of any third-party rights.

14. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and each party irrevocably submits to the jurisdiction of such courts.

15. Miscellaneous

Force Majeure

Jurisio shall not be liable for delays or failures resulting from causes beyond its reasonable control, including natural disasters, internet outages, telecommunications failures, labor disputes, governmental actions, cyberattacks, or failures of third-party providers.

Assignment

You may not assign or transfer these Terms without Jurisio's prior written consent. Jurisio may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms or written agreements, constitute the entire agreement between you and Jurisio regarding the Service and supersede all prior agreements relating to the subject matter herein.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.

16. Changes to Terms

Jurisio may update these Terms from time to time. Material changes will be communicated through the Service, by email, or by other reasonable means. Continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.
