This Addendum supplements the Jurisio Terms of Service. If a separately signed firm, enterprise, data processing, business associate, or similar agreement applies, that agreement controls to the extent it conflicts with this Addendum.
1. Professional Responsibility
Counsel is a productivity and workflow tool for legal professionals and authorized legal teams. Counsel does not provide legal advice, legal opinions, legal representation, or legal services.
Attorneys and legal professionals using Counsel remain solely responsible for professional judgment, client advice, supervision, confidentiality obligations, competence, diligence, filings, communications, and compliance with applicable professional responsibility rules.
2. Client Materials and Work Product
Counsel is designed to process client files, contracts, discovery materials, deposition materials, privileged communications, attorney work product, and other sensitive legal materials within authorized firm workspaces. You represent that you have authority to upload, process, and use those materials in Counsel.
Jurisio's role as a technology provider does not create an attorney-client relationship between Jurisio and any client, firm, or user.
3. Security and Compliance Commitments
Jurisio's Counsel security, SOC 2, HIPAA, business associate, regulated-data, and privileged-material commitments apply only as stated in the applicable written agreement, order form, data processing addendum, business associate agreement, security documentation, or other signed terms.
You remain responsible for determining whether Counsel is appropriate for each category of client material, configuring access controls, limiting uploads to authorized users, and complying with client consents, protective orders, court rules, bar rules, and internal policies.
4. Workspace Administration
Firm administrators may configure access, invite users, remove users, manage workspace settings, and view or control information associated with the workspace. You are responsible for assigning appropriate permissions and removing access when no longer appropriate.
Actions taken by workspace users may be attributable to the workspace or organization that authorized their access.
5. Output Review
Counsel outputs may contain errors, omissions, incorrect citations, inaccurate summaries, missing context, or unsupported conclusions. You are solely responsible for reviewing and verifying outputs before using them in client work, advice, filings, negotiations, or other professional contexts.
Citations, summaries, research results, and document excerpts must be independently reviewed against the underlying source materials before use.
Counsel should not be used as the sole basis for legal advice, litigation strategy, contractual decisions, or professional conclusions.
6. Integrations and Third-Party Systems
Counsel may connect to document management systems, storage providers, communication tools, or other third-party systems. Use of those systems is governed by their own terms and privacy policies.
You are responsible for configuring integrations, permissions, and access controls in a manner consistent with your client obligations and internal policies.
7. Regulated Data
You may not submit protected health information, financial account data, government identifiers, or other regulated data unless your agreement with Jurisio expressly permits that submission and the required safeguards are in place.
If a business associate agreement, data processing addendum, or similar agreement applies, it controls for the covered data and workspace described in that agreement.
